14.11 Acquisition of Property-Land The Developer has prior to the IBA’s payment of any installment of Purchase Price paid to competent authority of China the entire purchase price for acquisition of the Lands in granted forms. 14.12Tax Matters. The Developer has filed or will file all required tax returns and has paid all taxes due in connection with the acquisition and ownership of the Property-Land for all relevant periods.
14.13 Environmental and Safety Laws. The Developer, in relation to the Property-Land, is not in violation of any applicable statute, law, or regulation relating to the environment or occupational health and safety and no material expenditures are or will be required in order to comply with any such existing statute, law or regulation. The Developer in relation to the Property-Land has generated, used, transported, treated, stored, released or disposed of, or has suffered or permitted anyone else to generate, use transport, treat, store, release or dispose of any hazardous substance in violation of any applicable statute, law, or regulation. Further, no hazardous substance has been generated, used, transported, treated, stored, released or disposed of in nearby or adjacent properties or facilities to the Property-Land which has created or might reasonably be expected to create any liability under any applicable statute, law or regulation as in force on the date hereof or which would require reporting to or notification of any government authority.
15 IBA hereby represents and warrants that:
15.1 Authorization. IBA has full power and authority to enter into this Agreement, and the Agreement constitutes its valid and legally binding obligation, enforceable in accordance with its terms.

15 IBA特此代表和保证那：
