The three forms of business organization are sole proprietorship，partnership and corporation.
For proprietorship:
The proprietorship allows the owner receives all profits and take the control completely. However, the owner of proprietorship alone is responsible for all liabilities incurred by the business; if the business does not have enough assets to pay back business debts, creditors can take the personal assets of the owner.
For partnership:
Businesses as partnerships do not have to pay income tax and there is a limitation on liability with respect both to potential lawsuits and money.
However, each partner in partnership is individually liable for the debts and obligations of the business; if the business does not have enough assets to pay back business debts, creditors can take the personal assets of the partners.
Because of the relative ease of transferring ownership, the limited liability foro business debts and unlimited life of the business.
