Article 4 : Payment

4.2 The Seller shall send one set of original shipping documents directly to the Buyer for customs clearance by DHL(3 original invoices, 2 original packing lists, original B/L, C/O) within 4 days after shipping date.
Article 5 : Force Majeure
5.1 The Seller is not responsible for the late delivery or non-delivery caused by the contigencies beyond his control such as, but not restricted to war, fire, acts of god, govermental regulations or other events beyond the control of the Seller.
5.2 In the events of force majeure, the Seller shall inform the Buyer immediately by telex or cable and send to the buyer wthin 15 days by registered mail a certificate of force majeure issued by the Chinese Chamber of Commerce and Industry at the place where the force majeure occurs.
Article 6 : Arbitration
In case of dispute and if the contracting parties can not reach an amicable settlement of any claim and dispute concerning this contract within 60 days from its occurence, the case shall be tranfered to the International Arbitration Committe at the Viet Nam Chamber of Commerce and Industry for final settlement.
The ICC rules and practices shall be governed, the award of the International Arbitration Committe(VCCI) shall be final and biding upon both parties.
All of the fees and expenses incurred in this arbitration shall be borne by losing party.
Article 7: Other conditions
Any amendment or supplement to this contract shall be valid if they are in writing and signed by both contracting parties through email. This contract will come into force after being signed by both contracting parties through email. It is drawn up in 2 copies in English of equal authencity. One of which retained by each party.

第五款 不可抗力
5.1卖方不承担因战争、火灾、天灾、政府规章或其它卖方不可控制因素活动造成的延迟交付或不交付的责任。
5.2不可抗力事件发生时，卖方应立即电传或电报买家通知此事，并于15日内用挂号信邮寄中国总商会和不可抗力事件发生地工业界的证明书。
第六款 仲裁
如有争议，合同双方不能在事件发生后60日内达成友好和解，应递交至国际仲裁委员会越南工商会仲裁，寻求最后的解决办法。
国际刑事法院的规则和惯例适用于此仲裁，国际仲裁委员会的仲裁对双方均是最后仲裁，不得再提起新的仲裁。
仲裁所有费用和开支由败诉方负担。
第七款 其它条款
任何被写进合同文本并经缔约双方通过电子邮件方式签名确认的合同修改或补充内容均是有效的。
本合同经缔约双方通过电子邮件方式签字确认后，对双方均具有约束力。本合同由英文书就，一式两份，具有同等法律效力。其中一份由一方保留，另一份由对方保留。
