Identification of Confidential Information: Buyer’s or Seller’s obligations shall extend to any Confidential Information described below which is disclosed to Buyer regardless of whether said Confidential Information is marked confidential at the time of disclosure. It is assumed that all information tendered by Seller to Buyer or by Buyer to Seller is designated as confidential, unless specified otherwise in a written memorandum sent to Buyer’s or Seller’s primary representative at the time of disclosure. Confidential Information shall include, without limitation, information that is
1) Marked as confidential at the time of disclosure,
2) Any and all data and information relating to the Buyer’s/Seller’s business and the business of its related and unrelated Third Parties which are or have been disclosed to Seller/Buyer or of which Seller/Buyer becomes aware as a consequence of its relationship with Buyer/Seller, including, but not limited to, information relating to Buyer’s/Seller’s methods and processes and the financial or business affairs of Buyer/Seller relating to services, customers, advisors, investors and funders, customer lists, prospective customer lists, candidate lists, projections, plans, development, accounting, patents, trademarks, trade secrets, other intellectual property, computer code, computer design, programs, architecture, systems, procedures, manuals, confidential reports, personnel resources and strategic marketing and tactical plans;
3) Third Parties directly or indirectly related to or in a business relationship or referral relationship with Buyer/Seller,
4) Seller’s /Buyer’s business processes including, without limitation, the manner and process in which Seller or Buyer purchases, sells and re-sells the Product. In the event of dispute, Buyer or Seller shall have the burden of proving the non-confidential nature of the information. Upon the termination of a party’s relationship with the other party, Buyer or Seller will not retain without written authorization from the Seller or Buyer any documents, files or other property of the Seller or Buyer including, without limitation, its Confidential Information, and Buyer or Seller shall return promptly to Seller or Buyer any such documents, files or property in the Buyer’s/Seller’s possession or custody including any Confidential Information. In connection with this Contract, Buyer or Seller recognizes that all documents, files and property which the Buyer or Seller has received and will receive from Seller or Buyer including, but not limited to, the Confidential Information are for the exclusive use of Buyer /or Seller and employees who are discharging their responsibilities on behalf of Buyer / or Seller, and that Buyer / Seller has no claim or right to the continued use, limitation, the Confidential Information following the termination of this Contract.
