No Waiver; Amendments
3. No failure or delay by either party in exercising any right, power or privilege under this Agreement shall operate as a waiver thereof, and no variation shall be effective, unless agreed in writing and signed by an authorized representative of that party on its behalf. This Agreement (including the provisions of any documentation incorporated herein by reference) embodies the entire understanding and agreement between the parties with respect to the Confidential Information in relation to the Project and supersedes all prior understandings and agreements relating thereto. The terms of this Agreement, the rights and obligations hereunder and this clause may only be amended or modified by written agreement between the parties.
Partial Invalidity/Remedies and Waivers
4. Without prejudice to any other provision hereof, if one or more provisions hereof is or becomes invalid, illegal or unenforceable in any respect in any jurisdiction or with respect to any party to this Agreement, or if the parties to this Agreement become aware of any omission hereto of any terms which each party agrees in writing were intended to be included in this Agreement, such invalidity, illegality, unenforceability in such jurisdiction or with respect to such party or parties to this Agreement, or such omission shall not, to the fullest extent permitted by applicable law, render invalid, illegal or unenforceable such provision or provisions in any other jurisdiction or with respect to any other party or parties hereto. The parties, negotiating in good faith, shall replace such invalid, illegal or unenforceable provision or such omission with a provision which comes as close as reasonably possible to the commercial intentions of the invalid, illegal, unenforceable or omitted provision. The waiver by either party of a breach of or a default under any provision of this Agreement shall not be construed as a waiver of any subsequent breach of or default under the same or any other provision of this Agreement, nor shall any delay or omission on the part of either party to exercise or avail itself of any right or remedy that it has or may have hereunder operate as a waiver of any right or remedy.
Survival
5. Subject to Section 7, this Agreement shall remain in full force and effect until the earliest of:
(a) one (1) year from the date of this Agreement; or
(b) the execution of definitive documentation with respect to of the Project; or
(c) the execution of another Confidentiality Agreement between the parties to this Agreement and relating to the Project.

生存
5。经本协议第7,全权生效并一直持续到最早的。
(一)一(1)与本协议之日起,或
