No waiver by either Party of any provision of this Agreement shall be binding unless made expressly in writing. Further, any such waiver shall relate only to such matter of non-compliance or breach as it expressly relates to, and such waiver shall not apply to any subsequent breach of the same or any other provision. Subject to any statutory time limits applicable to the enforcement of rights under this Agreement, a failure or delay of a Party to exercise any right, power or privilege under this Agreement, or under any other agreement relating hereto, shall not be deemed to be a waiver thereof; nor shall any single or partial exercise of any right, power or privilege preclude any other future exercise thereof.
