这是两个公司签订的合作备忘录的几句话，我觉得非常费解，大家来看看应该怎么理解。

4. Relationship; No Warranty

This MOU does not create partnership between the Parties and no Party is obligated to enter into any further contract or business relationship with the other Party. No provision of this MOU shall affect, limit or restrict either Party’s right to engage in any business in any place at any time, whatsoever, provided the Receiving Party does not disclose the Proprietary Information in breach of this MOU. Neither Party accepts the responsibility or liability for or makes any representations, statement or expression of opinion or warranty, express or implied, with respect to the accuracy or completeness of the Proprietary Information or any oral communication in connection therewith.

这是MOU里面惯用的条款，主要是指该MOU仅仅是给双方的一个“备忘录”，它并不具备“合同”的效力 —— “它（的签订）并不意味着双方就因此而缔结任何合作关系、以及将来要建立什么合同/业务关系。。。。”。。。

一句话，主要是用来免责的。

就是说，这个谅解备忘录并不意味着各当事人具有合作关系，而且各当事人都没有义务去与其他当事人签订更进一步的合同或者建立商业合作关系。在接收方不公开专有资料的情况下（公开则违背本谅解备忘录），这个谅解备忘录的条款无论如何都不应影响或限制其他当事人的在任何时间地点参与任何商业活动的权利。任何一方都不接受关于专有信息或其他任何口头交流（以联系）的精确性或完整性的明示或暗示的意见或担保的陈述、表达。

4.双方关系;无担保

此谅解备忘录不建立双方的合作关系，任何一方无权与另一方订立进一步的合同或业务关系。此谅解备忘录的规定不影响，限制或约束任一方在任何时间任何地点从事任何商业活动的权利。无论如何，接受方不得违反此备忘录泄漏个人信息。双方无责任或义务发表任何陈述，声明，意见或担保，明示或暗示，涉及与此相关的正确完整的个人信息或与此相关的任何口头交流。
