4.0 SUCCESS FEE AND TIME OF PAYMENT
4.1 Subject to clauses 4.2 to 4.5 (below) REGENT TRUST will pay THE INTERN RECRUITER a recruitment fee in respect of the initial unconditional
Sale and Purchase Agreement for The Vincent residential or retail unit, made by an INTERN who has been directly recruited to the Intership Programme by THE INTERN RECRUITER . The INTERN RECRUITER shall not receive a recruitment fee for any unconditional Sale and Purchase Agreement made by any persons who the INTERN has recruited, prior to employment or subsequently. The INTERN Recruiter will be paid a recruitment fee on the first sale only. The Employee Recruiter shall not be entitled to a success fee on the 2nd or subsequent sales made after recruitment.
4.2 The quantum of the recruitment fee (specified at clause 4.1) shall be $5,000 NZD for each unconditional Agreement for Sale and Purchase, regardless of purchase price (Recruitment Fee).
4.3 THE INTERN RECRUITER is not permitted to offer or provide any part of the relevant Recruitment Fee (or monies from any other source whatsoever) to the INTERN or subsequent purchaser who the INTERN may refer.
4.4 The relevant Recruitment Fee payable (specified at clause 4.2) will be paid in the following instalments and at the following times:
(a) 35% of the Success Fee is payable once the purchasers’ conditions are unconditional in all respects and a 10% deposit has been paid;
(b) A further 35% of the Success Fee is payable once the purchasers’ conditions are unconditional in all respects and the full deposit has been
paid; and
(c) The final 30% of the Success Fee is payable upon on the successful settlement of the particular Sale and Purchase Agreement. If the
purchaser fails to settle there will be no final payment of the 30% outstanding Success Fee.
4.5 For the avoidance of doubt, a Sale and Purchase Agreement is unconditional when all of the following conditions are met:
(a) The purchaser’s solicitor has approved the Agreement in all respects, or it is deemed that approval has been given under clause 7.4 of the Agreement; and
(b) A 10% deposit, or otherwise, as specified in the Agreement has been paid in cash in full to the stakeholders’ trust account, or (if applicable) a deposit bond has been approved in writing; and
(c) The period in section 225(2)(a) of the Resource Management Act has expired with regard to the purchasers’ individual Agreement; and
(d) The purchaser has provided sufficient information including supporting evidence to allow the REGENT TRUST finance team to enter such data into a standard loan approval calculator and receive confirmation that the purchaser would meet the prevailing loan offer criteria
(where applicable).
