9.2 Employment of Management Personnel
Management Personnel shall be employed by the Company in accordance with the terms of individual employment contracts entered into between the Management Personnel and the Company and approved by the Board. The Management Personnel may be rewarded, disciplined, appointed or removed by the Board. The Managing Director shall have the right to submit recommendations to the Board for the reward, discipline, appointment or dismissal of other Management Personnel for consideration and action by the Board, and the Board shall give such recommendations of the Managing Director due deference and consideration. If any of the Management Personnel is removed by the Board, the replacement shall be nominated by the original Party in accordance with Clause 9.1 above. 展开
