（3）In the event that none of the parties to thisAgreement is willing to subscribe to the offered shares/fresh allotment, theshares may be allotted to the third parties, subject to the approval of theBoard as well as members by way of special resolution, upon any such thirdparty signing a Deed of Adherence.
