摘 要

公司资本制度是公司法的核心和基础，也是现代经济社会生活的核心所在。先进的公司资本制度是推动公司组织发展，提高公司竞争力，推动经济社会前进的重要保证。世界范围内的公司资本制度已经有三百多年的发展历史，20世纪90年代以来世界公司资本制度经历了一次全球范围内的改革大潮，建立一种更为灵活高效、管制更为宽松的公司资本制度逐渐成为全球资本制度改革的共识。它使两大公司资本制度——法定资本制和授权资本制趋于融合，形成了一种能够更有效地实现资本制度的安全与效率叠加的新的折中授权资本制，并在近几十年来，推动了德、美、法、日、欧盟等众多国家公司资本制度的立法变革。本文正是在这一背景下，以2006年1月1日开始实施的新《公司法》为主线，通过理论和实践研究的视角，对公司资本、公司资本制度等基本问题进行了较细致地梳理，同时在考察世界公司资本制度改革的基础上，探讨了我国公司资本制度的历史与现实及新《公司法》实现的我国公司资本制度的重大变革，以期重构一个符合中国的法律文化又能解决中国实践的公司资本制度。

Abstract

Corporation capital system is the core and basis of corporation law,as well as the core of modern economic social life.Advanced corporation capital system accelerates the development of corporation,enhances the corporation’s competitive ability.And it is also the certificate to push economy society forward.Corporation capital system has existed for more than 300 years among the world.Since 1990s,corporation capital system encountered a great reform worldwide,creating a more flexible,efficient and easier—controlled corporation capital system eventually becomes the consensus of global capital system reform.It forces two corporation capital system——legal capital system and authorized capital system to integrate as one,forming the new compromised authorized capital system which can assure the safety and efficiency of capital system more effectively.Furthermore,in recent years,it contributed to legislative changes of corporation capital system in Germany,the U.S,France,Japan,and EU etc.The essay is under this background,taking the implementation of new corporation law in 2006,1,1 as its main line,discussing the basic problems about corporation capital system meticulously,in the mean time, based on the investigating of global corporation capital system reform,it discussed the history of Chinese corporation capital system and the great reform of Chinese corporation capital system caused by implementation of new corporation law,in order to reconstruct a corporation capital system that matches Chinese legal culture and can solve Chinese practice.
