9. ENTIRE AGREEMENT
This Agreement constitutes the full and complete agreement of the parties hereto and all other prior negotiations and agreements pertaining to the subject matter hereof are merged into this Agreement .
10. AMENDMENT
This Agreement shall not be amended or supplemented except by an instrument in writing signed by a duly authorized officer of each party.
11.CONSTRUCTION
This Agreement and any uncertainty or ambiguity herein shall not be construed in favor of or against any party , but shall be construed as if all parties to this Agreement jointly prepared this Agreement , and each party expressly waives application of the doctrine of Contra Proferentem.
If any provision, undertaking or condition of this Agreement is declared illegal, invalid or unenforceable for any reason, by a court of competent jurisdiction , all remaining provisions , undertakings or conditions of this Agreement shall otherwise remain in full force and effect and shall be construed as if such illegal , invalid or unenforceable provision , undertaking or condition had not been included herein .
