甲方与乙方于2010年11月16日在澳大利亚悉尼市签订的NO:SC21153的销售合同，因乙方的负责人即XXX（护照号码：XXXXXXXXX）由于其官司的原因而长时间停留在中国，没有按与甲方签订合同的要求在规定的时间内返回澳大利亚，完成交货以及交货所要办理的相关手续。现甲方根据合同规定要求乙方赔偿十三万九千美元。经协商，甲乙双方达成如下协议条款，共同遵守：
一、 乙方愿意于XX年 X 月 X 日一次性赔偿甲方十二万美元，作为因乙方违反合同对甲方的全部赔偿。甲方表示同意。
二、 甲方同意本协议第一条乙方履行后，放弃对乙方其他责任的追究。
三、 本协议自双方签字盖章后立即生效，即表示乙方已经支付本协议的全部赔偿金，甲方也同时收到乙方的全部赔偿金。
四、 本协议一式两份，双方各执一份。
