Use.
Both Parties shall keep strictly confidential the Confidential Information,and the negotiations and discussions regarding the Contemplated Relationship. Each Party acknowledges that the Confidential Information provided to the other Party is in all respects confidential and proprietary in nature, and agrees that any Confidential Information provided will be used solely in connection with its evaluation of the Contemplated Relationship.

Disclosure.
Each Party further acknowledges and agrees that the Confidential Information shall not be disclosed, transferred or assigned to any other third party without the prior written consent of the other Party, which shall be given in its sole and absolute discretion. Each Party agrees to notify the other in writing of any misuse or misappropriation of the Confidential Information which may come to its attention as soon as reasonably possible after the discovery of such misappropriation.
