Survival.
In the event of termination or expiration of this Agreement, the Parties shall continue to hold the Confidential Information in strict confidence as set forth herein for two (2) years from the date of termination or expiration, except with regard to trade secrets of the other Party, which shall be held in confidence for as long as such information remains a trade secret.

Indemnification.
The receiving Party agrees to defend, indemnify, and hold harmless the disclosing Party and its directors, officers, agents, employees, subsidiaries,and affiliates from and against any claim, action, proceeding, liability, loss, damage, cost, or expense (including, without limitation, attorneys’ fees), arising out of any act or failure to act by the receiving Party resulting in a claim for injury or damages to any person or persons relating to the unauthorized access to, or the disclosure, loss, destruction or use of the Confidential Information, or other violation of this Agreement.
