In addition, if the Company receives an investment, commencing at the end of the Exclusivity Period and ending six months thereafter (the “Tail Period”), from any new investor who was not already an existing investor in the Company or from an investor which the Company cannot demonstrate, to TriPoint’s reasonable satisfaction, had been previously introduced to the Company by any person or entity other than TriPoint, or the Placement Agent (or their respective affiliates or agents), solicited during the Exclusivity Period, the Placement Agent shall be entitled to the equivalent placement agent fee (“Tail Period Fee”) as if the investment was consummated by the placement agent (see “Fees” above). Any such Tail Period Fees shall not include any fees for consulting services to TriPoint.
