为了在平等互利的基础上发展贸易，甲乙双方按下列条款签订以下协议：
供货方（以下称甲方）: 惠州市佳佳利化妆品有限公司(销售部)
代理商(以下称乙方)：
甲方委托乙方为销售代理方, 即甲方授权乙方在越南代理销售甲方产品，经甲乙双方一致同意，签定以下销售代理协议。具体条款如下：

1.代理品牌: 纯品、积发、新势力 系列商品

2.代理区域: 城市 越南 国家(独家代理商)

3.代理期限: 由 200 年1月 至 200 年12月 截止.代理有效期为 3 年
准。

5.年代理销售金额：按双方协议，乙方每月的代理销售额不少于人民币10万元整（均按乙方向甲方进货价计），并按30%年递增计算，即2006年代理销售总额为120万元整，2007年为156
6.甲方的责任与义务
(1)甲方负责向乙方提供 纯品、积发、新势力 品牌美发系列产品.

(2)乙方可享受甲方制定的统一经销价和免费的产品宣传资料.
(3)为了确保乙方权益，甲方只设乙方为 越南 独家代理商代理甲方以上3个品牌产品，并保护其独家代理权.
(4)有关于本合约的产品，甲方提供按国家所规定的生产地惠州市有关检验资料，并提供该证明文件复印件于乙方。但属乙方所在地需其他检验者，均由乙方负责提供，并承担检验所发生的一切费用.

(5)作为生产产家，甲方拥有纯品、积发、新势力 三个品牌产品的生产和商标所有权，乙方只拥有在越南代理销售以上三个品牌产品的销售权，且乙方不得以任何理由、任何形式在任何区域损害或侵犯以上三个品牌产品的生产和商标的所有权。否则，甲方将以法律途径向乙方索赔以上三个产品的全部开发费用。
7.乙方的责任与义务
(1)乙方不得出售过期、变质商品，不得作有损其他代理商利益及所代理商品和厂家形象的行为，情节严重者，甲方有权无条件取消乙方的代理资格.
(2)本协议规定代理商不得跨越指定区域销售，一旦发现，甲方有权无条件取消乙方的代理资格.
(3)按协议，如果在协议内连续3个月乙方未能完成月度进货额或不能完成年销售总额，甲方有权无条件取消乙方的代理资格.
(4)按协议,乙方能按协议内容要求,按质按量完成年销售额,甲方将按乙方的年购货总额的7%的额度以货物形式于年末回赠乙方,用以支持乙方的业务开展.
8.付款方式
乙方付30%的定金开始备货,付清余款后发货.

9.装运方式
甲方只负责将货物运至乙方(广东)指定货运站及收货人.其他装运及保险事宜均由乙方负责.

10.管辖法院约定
凡因执行本合约或有关本合约所发生的争执，双方应以友好的方式协商解决,如协商不能解决,应提交中国广东省惠州市人民法院作最终裁决,最终结果对双方均有约束；
11.协议有效期及效力
本协议经双方签字后生效。若一方希望延长本协议，则须在本协议期满前1个月书面通知另一方，经双方协商决定。若协议一方未履行协议条款，另一方有权终止协议。
本协议于 2008年 1 月 1 日在 中国广东惠州 签订，正本两份，甲乙双方各执一份。对双方有同等法律效力。
