§Agreements to record in waiting
Saying that representatives of corporation and an advertising agency meet to negotiate a contract for the production of a promotional video .By the end of the meeting they have reached consensus on all the broad terms of the relationship. This consensus may be entirely oral, or it may be recorded in a written memorandum or letter of intent. They agree that the corporation’s attorney will draw up a written contract reflecting the agreed terms and providing for matters of detail not fully addressed in the negotiations. Upon completion of the document, it will be present to both parties for approval and signature .A couple of days later, before the writing has been prepared, the corporation changes its mind and no longer wishes to use the agency’s services. Can the corporation cancel without legal liability?
If the parties had clearly stated the intended effect of their oral understanding, this question would be easy to answer. However, if they failed to express its intended legal significance, their purpose is unclear. They could have intended to be bound immediately upon concluding the oral or informal agreement, so the reduction of this agreement to a final writing is just a formality, and they are obliged to execute it provided that it properly reflects what they agree. Conversely, they may not have intended to be bound by the oral or informal agreement, and did not expect any contract to come into existence until the final, formal writing has been executed and signed. (In this latter case, the parties may or may not have bound themselves to continue to negotiate any unresolved terms in good faith, as discussed in section10.10.5.)
