All payments to be made under this Agreement shall be made in cleared funds, without any deduction or set-off and free and clear of and without deduction for or on account of any taxes, levies, imports, duties, charges, fees and withholdings of any nature now or hereafter imposed by any governmental, fiscal or other authority save as required by law.
Should any provision of this Agreement be or become invalid, the Parties will endeavor to agree to substitute a provision that in its effect comes so close to the invalid provision that it can be reasonably assumed that the Parties would have contracted this Agreement with the substituted provision. If the Parties cannot agree upon such provision, the invalidity of one or several provisions of this Agreement will not affect will not affect the validity of the Agreement as a whole unless the invalid provisions are of such essential importance for this Agreement that it is to be reasonably assumed that the Parties would not have contracted this Agreement without them.

此条约下所付款为净付款，无任何扣除或抵消，也无需扣除或是含有任何政府、财政或是其他授权权力机构规定的税收，课税，出口税，关税及收费之类在内，不论是现在还是以后。

如果此条约任一条款无效或失效，双方应尽量协商一个代替条款以尽量接近原失效条款效用，即代替条款为双方有条件的履行了此条约。如果双方在此条款上不能协商一致，那么此条约的一条或是多条条款的失效并不影响整个条约的效力，除非失效条款关键到影响了整个条约，即无此条款此条约不能被实施的情况下，任何一条款的失效都不影响合约的整体效力。
