Entire Agreement. This document expresses the entire agreement between the Parties concerning the subject matter hereof and superseders all previous oral or written agreements or understandings between the parties concerning the subject matter hereof.No change of this Agreement shallbe valid or binding unless expressed in a written document duly signed by the parties. The failure of either party to require performance by the other, or the waiver by either party of a breach of any provision hereof shall in no way affect the required performance at anytime thereafter,and shall not constitute a waiver of any provision hereof. If any provision hereof violates any law of any jurisdiction,such provision shall be of no force and effect in such jurisdiction but shall not affect the validity of any provision hereof.
