Fees, Royalties and Litigation:
All fees, royalties and/or other payments due to any person, firm or corporation in respect of any such protected rights aforesaid whether payable in one sum or otherwise, shall be included by the Supplier in the price(s) set forth in the Purchase Order and shall be paid by him to those to whom they are due or payable. In the event of any claim being made or action brought against the Purchaser in respect of any such matters aforesaid the Supplier shall immediately be notified thereof and shall (with the reasonable assistance of the Purchaser, if necessary) at Supplier's sole cost, risk and expense, conduct all negotiations for the settlement of the same, or any litigation and pay any judgment that may arise there from. All of Purchaser's expenses in rendering such assistance shall be to Supplier's account. This Clause 11.0 shall continue to be effective after avoidance, cancellation or discharge of this Purchase Order.
