3. PRICES

3.1. The prices of the PRODUCTS at which they shall be sold to THE DISTRIBUTOR shall be in (Negotiation Currency) __________. These prices shall come into force upon receipt of the Purchase Order, whereby this proposal is accepted, by THE SUPPLIER. These prices include export packing, and are considered under the following negotiation modality __________ (FOB, EXWORK). The price list proposed by THE SUPPLIER forms an integral part of this proposal as Attachment No. 1.

3.2. For purposes of the agreement generated as a result of the acceptance of this proposal, the prices must be specified with the Incoterm, which must be approved by THE DISTRIBUTOR. The prices of PRODUCTS shall be reviewed by the Parties on an annual basis and may not be changed without the prior acceptance in writing from THE DISTRIBUTOR.

3.3. For annual price change events, the intention to make such change must be notified by THE SUPPLIER to the DISTRIBUTOR via a written note or by electronic means, detailing the SKU or product, its unit price and term thereof, at least thirty (30) days prior to the intended application date. The new price list (total or partial) shall be considered as a new price proposal by THE SUPPLIER, and it must be accepted by THE DISTRIBUTOR through the respective purchase orders.

3.4. Prices for large-scale or special projects shall be negotiated by the Parties considering the conditions for each case.
