1. PRICES; PAYMENT;

1.1. The purchase price to DISTRIBUTOR of each Product, FOB, shall be as set forth in the Product Price List in effect on the date when DISTRIBUTOR’s firm order is received. The Product Price list may be adjusted by FCP, at its discretion subject to a three months prior notice.

1.2. The purchase price for Products ordered shall be payable, in United States Dollars, directly to the account of the Company.

1.3. In the event of any delay in payment, then in addition to any other remedy available, interest shall be payable on the overdue amount, at a rate which shall be equal to LIBOR plus four percent (4%) per annum and FCP shall have the right to market directly the products to any client in the Territory and to receive payments directly from aforesaid clients.

2. TITLE AND WARRANTY AND LIMITATION OF LIABILITY;

Title and license of Products, intellectual property rights with respect to the Products, limited warranty and support obligations, obligations with respect to infringement, WARRANTY DISCLAIMER and limitation of liability shall be as set forth in Exhibit B annexed hereto. DISTRIBUTOR’s nondisclosure obligations shall be as set forth in Exhibit C annexed hereto.

3. TERM AND TERMINATION

3.1. Termination.

Either Party may terminate this Agreement at any time upon 30 days written notice.

3.2. No Elimination of Liability. Termination of this Agreement due to any failure of DISTRIBUTOR to comply with the terms of this Agreement shall not relieve DISTRIBUTOR of any of its obligations for Products supplied or ordered pursuant to this Agreement. FCP may, following such termination, pursue such remedies as it deems appropriate with respect to such liabilities.

3.3. Survival of Certain Conditions. Notwithstanding anything to the contrary contained herein, the provisions of Sections 2-5 and Exhibits B and C shall in all cases survive any termination under this Agreement.

4. MISCELLANEOUS PROVISIONS

Governing Law and Choice of Forum. The validity, performance and construction of this Agreement will be governed by the laws of Jerusalem, Israel. The Parties acknowledge that the courts of the Jerusalem, Israel are the sole appropriate and acceptable venues for any legal action necessary to construe or enforce any term or provision of this Agreement, and consent to the exclusive jurisdiction of such courts and to service of process by registered mail.

IN WITNESS WHEREOF, the Parties have caused this Agreement (which includes the clauses on the attached schedules or exhibits) to be executed by their duly authorized representatives as of the date first above written.
