这份合同是甲和乙在双方自愿平等的基础上达成协议如下：

第一条 条件
在双方没有签字和乙方没有支付该合同第三条所列的费用之前，该合同将不得生效。

第二条 范围和职责
乙方愿购买甲方按摩中心及其一切设备

在签此合同前的一切债权债务与乙方无关；同样在签此合同后的一切债权债务与甲方无关
甲方将提供乙方在申请营业执照时所需的一切文件；乙方将按合同按时收费。

第三条 费用及支付
乙方将支付甲方总费用XXXXX现金。在与房东签署完转让租约后，乙方将支付甲方XXXXX现金；在甲方陪同乙方到政府递交申请营业执照后，乙方将支付甲方其余XXXXXXX现金。

第四条 有效日期
此合同在甲乙双方完成条款“一”（即：双方签字，甲方支付了费用）时即生效

第五条 中断合同
如果合同中有一方起诉另一方，或必须有第三者参与执行，在这种情况下，在法律范围内，获胜方将得到合理的补偿，败方将支付所有费用，如律师费和在此过程中所花的一切其它费用。

This contract is agreed upon the principle of mutual consent by both parties A and B.

第一条 条件 1. Conditions
在双方没有签字和乙方没有支付该合同第三条所列的费用之前，该合同将不得生效。
This contract shall only be valid after both parties have attached their signatures and Party B has made due payments in accordance with the requirements in Clause 3.

第二条 范围和职责 2. Scopes and Obligations
乙方愿购买甲方按摩中心及其一切设备
设备包括如下：XXXXXXXXXXXXXXXXXXX
在签此合同前的一切债权债务与乙方无关；同样在签此合同后的一切债权债务与甲方无关
甲方将提供乙方在申请营业执照时所需的一切文件；乙方将按合同按时收费。(我认为是付费)
Party B wishes to purchase a massage center and all its equipments and accessories from Party A.
The equipments are inclusive of the followings:……………………………
Party B shall not be responsible for all debt due to, and owing by Party A before the execution of this contract. Similarly, Party A shall not be responsible for all debt due to, and owing by Party B after this contract has come into effect.
Party A shall provide all necessary documents to Party B for the application of business license; and Party B shall make all installment payments in accordance with stipulations in the contract.

Party B shall pay to Party A a total cash payment of xxxxx. 第五条 中断合同 5. Discontinuity of Contract
如果合同中有一方起诉另一方，或必须有第三者参与执行，在这种情况下，在法律范围内，获胜方将得到合理的补偿，败方将支付所有费用，如律师费和在此过程中所花的一切其它费用。
In the event of any litigation between the Parties, or the necessary involvement of a third party, under such circumstances, the winning Party of the litigation shall receive reasonable indemnity within the framework of the law; and the losing Party shall be responsible for all expenses incurred, for example, the attorney’s fees and all other costs involved in the litigation.

Article 5 breaks off contract
If there is a square suing another one square in the contract, or have to there is third party participating a performance, in this kind of case, within the scope of law, win the square will get reasonable repair, hurt the square will pay all expenseses, such as lawyer fee with in this process the whole other expenseses spend.
