我国现行公司法确立了一人公司法律制度,一人公司是指全部股份或出资由一人拥有的公司，它的设立形式决定了公司股东的唯一性，责任承担的有限性和内部治理结构的简化性,本文在简要介绍该制度的基础上做出相应评析。
与英美法系的一人公司对比，可以发现大陆法系对一人公司的设立更加开放；然而，在制度的合理性和完善性方面，与发展较为完善的国家相比，我国仍存在一定的差距。尽管一人公司的设立对我国经济的发展以及公司的结构完善意义非凡，但在肯定其积极意义的同时，也要认识到一人公司在内部治理结构、设立资本和法人格否认制度等方面存在的问题。结合国外的发展经验，针对这些问题提出一些诸如完善内部治理结构、统一资本制度、完善法人格否认制度适用条件的意见和建议。
