Great changes in the forms of investments to China from foreign multinational corporate have taken place since 1990s, gradually from joint to solo investment. During this period, the influence on the national economic security of the transnational M&A (merging and acquisition) has also been revealed from all aspects. China’s enterprises have been facing greater chances as well as challenge since the huge progress in Chinese economics after the WTO (World Trade Organization) entry. Therefore, both the government and entrepreneurs should set up higher hardship consciousness. Only through M&A of preponderant enterprises can the government improve the national overall competitive power rapidly, and thus carves a niche in the more aboil competitive market in future. We must locate the practical problems and flaws existing in our enterprises, economic and law system, and find effective counterplans. Hence it is possible for China to meet the international market challenge while maintaining the domestic market share for the economic security. This paper summarises the motivation of the transnational M&A considering the issues listed above, analyses the development of the M&A and its influence on the industrial security of the national economic security and provides with according countermeasures.
