Both the parties hereto agree tha they will not voluntarily undertake any action or course of action inconsistent with the provisions or purpose of this letter of intent and will promptly perform all acts and take all measures as may be appropriate to comply with the terms, schedules,conditions and provisions of this letter of intent.
