14.4. Deductibles and Global Insurance Program. Insurance policies referred to in Article 14.1 may include provisions for deductibles agreeable to Operator. Operator may elect to maintain all or part of such insurance under the Mövenpick global insurance program insuring one or more hotels of the Mövenpick Hotel Group, in which event the cost of such insurance shall be allocated to the Hotel on a proportionate and reasonable basis.
14.5. Co-Insurance. All insurance policies shall name the Owner, Operator, Affiliates designated by Operator and such other Parties as Owner and Operator may require to be named as additional insureds thereunder.
14.6. Other Terms of Insurance. Insurance policies to be provided hereunder shall be contracted with insurance companies having an A.M. Best's rating of A- or better (or equivalent ratings where not available) and shall provide that (i) they may not be canceled or modified without at least thirty (30) days written notice to Operator and Owner, (ii) no act or omission of Operator or Owner shall affect the obligation of the insurer to pay the full amount of any loss suffered and (iii) all express and implied rights of subrogation against each named insured and their respective Affiliates are waived. The amounts to be insured under Articles 14.1 and 14.2 shall be agreed to between the Parties periodically, provided that the minimum limits in Articles 14.1 (a) and (b) shall not be deviated from and that the coverage limits shall be in accordance with industry standards and the policies and procedures of Operator and similar to comparable hotels of the same international standard at the place where the Hotel is located. The Parties shall provide each other upon request with certified copies of the insurance policies each has obtained under this Agreement, showing the insurance required hereunder to be in full force and effect.
14.7. Waiver of Subrogation. So long as each Party is named as an insured or additional insured under the other Party's policies, or the policies otherwise permit where each Party is not so named, each Party hereby releases the other Party, and its Affiliates and agents, and their respective officers and employees, from any and all claims whatsoever and howsoever arising in respect of personal injury or death, or loss of or damage or destruction to its property (including, in the case of Owner, the Hotel and the FF&E), whether or not due to negligent or other acts or omissions of the other Party, its Affiliates or agents, or their respective officers or employees, where the damage or destruction is covered by insurance policies of the releasing Party. 展开
