The parties further acknowledge and agree that this letter is one of solely expressing the understanding between themselves concerning the possible steps to be followed in setting up the joint venture, and that the relationship of the parties hereunder is one of independent contractors and nothing contained in this letter shall be construed to make either party a joint venture, principal, agent or employee of the other nor shall this letter constitute, create of give effect to a joint venture, partnership or formal business organization of any kind nor does it commit either party to take any of the actions contemplated by this letter and neither does it impose any obligations upon the parties. Accordingly, no party has the power to bind, act for or obligate another party in any manner whatsoever.
