Supplier shall dispose off the rejected and/or returned Products as per instructions of the Buyer. Supplier shall ensure that prior to disposal of returned and/or rejected Products, all trade marks, copyrights or other intellectual property of the Buyer affixed on the Products are removed or defaced as per instructions of the Buyer.

Supplier shall protect, defend, indemnify and hold harmless Buyer, its officers, directors, employees, franchisees, store operators and agents, from and against any and all lawsuits, claims, demands, actions, liabilities, losses, damages, liens, costs and expenses (including, but not limited to, cost of investigating, liquidated damages, consequential losses, economic loss, loss of profit, loss of revenue, loss of goodwill, property damage, personal injury or death, and attorneys' fees and court costs), regardless of the cause or alleged cause thereof and regardless of whether caused by Supplier, its employees, officers, agents, sub-contractors, and regardless of whether such matters are groundless, fraudulent or false, including as to any representations and warranties contained herein, death or injury to any person by use, intended or otherwise, of Product. 展开
