obtain a written agreement from the QUALCOMM Assignee containing an acknowledgement by the QUALCOMM Assignee that such assignment or transfer of QUALCOMM’s Chinese Wireless IPRs is subject to the licenses granted to LICENSEE under this Agreement and that subject to (i) LICENSEE’s continued fulfillment of its obligations under this Agreement and (ii) Section 8 of this Agreement, LICENSEE will continue to have the licenses to QUALCOMM’s Chinese Wireless IPRs set forth herein.
