出让方与受让方经友好协商，就出让方将其在杭州雍福慧贸易有限公司的股权转让给受让方一事签订如下协议：

1、出让方将拥有杭州雍福慧贸易有限公司10%的5万股权转让给受让方。
2、本次股权转让的价款为5万元，转让价款的交割方式为：货币在2015年4月__日 交割；
3、本次股权的转让基准日为2015年04年22日。

4、本次股权转让涉及到未缴纳的认缴出资额由受让方按章程约定按期足额缴纳。
