The Parties further agree that: (a) this Agreement shall be binding upon and shall inure to the benefit of the Parties and their respective successors and assigns; (b) this Agreement, including the foregoing recitals incorporated herein, sets forth the entire understanding of the Parties regarding its subject matter and supersedes any other written or verbal agreement or understanding between the Parties; (c) this Agreement may be executed in counterparts, each of which may be signed and transmitted by facsimile with the same validity as if it were an ink-signed document; and (d) if for any reason a court of competent jurisdiction finds any provision of this Agreement, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the Parties, and the remainder of this Agreement shall continue in full force and effect.
