本文主要以我国上市公司信息披露制度的规则体系为前提，通过对江苏三友集团股份有限公司的隐瞒管理层变更案例的处罚原因做出具体的分析，从而映射出当今社会关于信息披露违规的现状，以期为我国中小板上市公司进一步规范信息披露做出参考。
