Abstract: The Stock Option System has proved to be an effective distribution and incentive means in many enterprises’ real life practice. By now, there have been a number of tests points of the Stock Option System in some domestic companies, which can be regarded as a beneficial means of exploration of the incentive system. Although quite some achievements have been made, it is still in the testing period, where it shows a lot of incompleteness, especially in the aspect of policy and legislation environment as well as enterprises’ internal management system.
