1.All orders for NCNR Products are subject to acceptance by Seller and the terms
set forth in such acceptance.

2.Customer acknowledges that all orders for NCNR Products are legally binding,
and without Seller’s prior written consent, Customer may not cancel, reduce or
re-schedule orders for NCNR 3. Except
for returns under an applicable manufacturer’s warranty, Customer may not
return any NCNR Products.

Allorder and purchases for NCNR Products will be subject to the terms of the sales
agreement between Seller and Customer for such products. In the event of a
conflict between these NCNR terms and the terms of any sales agreement, these
terms shall prevail.
