In the event LifeSize exercises this right, LifeSize shall promptly notify Reseller of such offset and specify the nature and amount of the LifeSize obligation and what unpaid invoice(s) to which it was applied. Reseller may not offset amounts due to LifeSize for Product or Service purchases with any credits due to reseller until such credits are issued by LifeSize.
