1，本合同生效后，如甲方无正当理由终止合同，乙方已收取的所有合同订金不予退还，如合同余款尚未支付，则甲方应向乙方给付所有合同总额的余款作为违约金。
2，如本合同适用于中国法律，如发生一切争议由中国法院管辖。
