甲乙双方本着平等自愿，诚实信用的原则，就甲方委托乙方提供水电站信息服务达成如下协议。
一． 在本协议有效期内，乙方同意：
1．根据甲方的委托和要求，乙方将福建省大田县梅山璞溪囗水利发电有限公司转让项目介绍给甲方，供甲方决策参考；
2．协助甲方对项目进行风险查勘，识别与评估，并负责联络、沟通与协调；
二． 在本协议有效期内，甲方同意：
如实向乙方提供有关的信息与资料，在乙方服务过程中给予必要的协助。
三． 保密条款
本协议执行过程中，除应法律要求或经对方书面同意，甲乙双方不得将获得的任何保密信息泄露给第三方。本协议终止或解除时，本条款继续有效 年。
四． 报酬与费用
甲乙双方同意，如甲方成功收购福建省大田县梅山璞溪囗水利发电有限公司，按成交的股份价 %(不含税票)付给乙方作为佣金报酬，不再另外向甲方收取其他费用。
五． 争议解决
甲乙方双方就执行本协议的争议，应通过友好协商解决。如协商不成，任何一方均可向本签署的人民法院提起诉讼。
六． 其他事项
1．本协议自双方签章之日起生效，有效期 年，协议期限满后，如双方无异议，则本协议继续有效。
2．本协议如有未尽善事宜，双方应协商订立补充协议。补充协议与协议具有同等法律效力。
3．本协议一式两份，甲乙双方各持一份。

Following the principle of equality, voluntary,honesty and credit,Party A and B both sides reach the agreement,party A entrusting Party B to provide information services of hydropower station,listed below:

1. In the validity of this Agreement, Party B agrees:
1.1 According to the commission and requirements of Party A, Party B will introduce the transferential project of XXX CO,LTD to Party A for reference and decision-making

1.2 Assist the Party A to conduct risk examine, identification and assessment of the project and to be responsible for liaison, communication and coordination

2. In the validity of this Agreement, Party A agrees:

3. Privacy Policy
In the process of implementing this agreement, Except the legal requirements or other written consent, Party A and B both sides can not disclose any confidential information obtained to the third party. When this Agreement is terminated or unchained,this articles still remain valid for ___ years

4． Remuneration and expenses

5． Dispute resolution

6. Other matters
6.1 this agreement will become effective since the date it is signed by party A and B both sides valid for___year,after the deadline for an agreement, if both party A and B without objection, then this Agreement shall remain in force.

6.2 If there is deficiency in this agreement, both sides should consult a supplementary agreement. It has the same legal effect as the Agreement.
