12. Improvements : EXAMPLE - Within forty-five (45) days after full execution of this COMMITMENT, SUPPLIER and XXXXX will each identify employees to serve on a joint team to develop a strategy for identifying and implementing opportunities for cost savings. The joint team will use good faith efforts to identify and recommend such cost savings measures.
SUPPLIER shall commit to achieving productivity improvements that will favorably impact the SUPPLY PRICE of SUBSTANCE on an annual basis.
The SUPPLY PRICE for [Substance/Item] shall be reduced by a percentage of MANUFACTURING cost savings realized from SUPPLIER's productivity improvements, as follows: (1) if a productivity improvement were proposed by XXXXX, the SUPPLY PRICE shall be reduced by an amount equal to [X%] of the amount of such savings; or (2) if a productivity improvement were proposed by SUPPLIER, the SUPPLY PRICE shall be reduced by an amount equal to [X%] of the amount of such savings; or (3) if a productivity improvement were developed by said joint team, the SUPPLY PRICE shall be reduced by an amount equal to [X%] of the amount of such savings.
13. Safety Stock: SUPPLIER shall maintain a rotating inventory of [X [kilograms/units] or X percent of COMMITMENT REQUIREMENTS] of [SUBSTANCE / ITEM], on a “First-In First-Out” basis, until three (3) months before the end of the COMMITMENT TERM, at which time XXXXX will purchase such inventory. SUPPLIER shall maintain such inventory in accordance with cGMPs and for the sole benefit of XXXXX, and such inventory shall not be subject to allocation pursuant to SECTION 2.3 of the AGREEMENT. Notwithstanding the foregoing, prior to such three (3) month period, XXXXX shall have the right to require SUPPLIER to reduce or eliminate such inventory by written notice thereof to SUPPLIER, which notice shall take into account the reasonable timeframe anticipated for such reduction/elimination to be completed prior to the commencement of said three (3) month period, based on historical demand patterns, and XXXXX’s obligation to purchase hereunder shall be reduced or eliminated accordingly.
