Except for the provisions of Sections 6 through which shall upon execution of this LOI constitute binding agreements of the Parties and which shall survive the termination of this LOI, this LOI is not intended to, and shall not, constitute a binding agreement among the Parties hereto, shall not impose any legal obligations on the Parties to proceed with or consummate the proposed project or enter into a definitive agreement with respect thereto, and failure to consummate the proposed project, for any reason whatsoever, shall not give rise to any liability on the part of either Party.
