Owner and the Manager shall use reasonable efforts to facilitate an orderly handover of the Hotel in connection with an imminent termination. Upon termination, the following actions shall be taken:

(a) A final audit shall be conducted covering the period from the preceding audit through the date of termination. If neither Owner nor the Manager raises any objection to the audit within thirty (30) days after receipt: (i) the audit shall be deemed to have been accepted by the Parties as correct and (ii) neither Party shall have any right to question its accuracy. Within sixty (60) days of the receipt by Owner and the Manager of such final audit, the Parties shall make such cash adjustments as are necessary pursuant to such final audit. The cost of preparing such final audit shall be an Operating Expense. If certain adjustments cannot be made because of unavailable information at the time of the final audit, the Parties shall make necessary cash adjustments when such information becomes available; in all events, all accounts shall be deemed final one (1) year after termination.
(b) The Manager shall release and transfer to Owner or any other party designated by Owner any of the Owner’s funds which are held or otherwise controlled by the Manager with respect to the Hotel.
