ARTICLE 19 – AGENCY
Nothing in this Agreement shall be construed to make either Party hereto an agent, partner, or joint ventures of the other Party for any purpose. Neither Party hereto shall hold itself out contrary to the terms of this Section, nor shall it become liable by, or because of, any representation, act or omission of the other Party contrary to the provisions hereof. All financial obligations associated with the business of each Party shall be its sole responsibility. Each Party shall defend, indemnify and hold the other harmless from any claim based on a relationship between the Parties that is disclaimed herein.
