Contractor shall, at its expense, defend, indemnify and hold Buyer and its officers, directors, employees, agents and customers harmless from and against any and all claims, suits, losses, damages, expenses and liabilities and the associated costs and expenses (including attorneys’ fees), which it may hereafter incur or become responsible for as a result of death or bodily injury to any person, destruction or damage to property, contamination of the environment and any associated clean up costs, or any violation of governmental law, regulation, or orders, caused in whole or in part by (i) Contractor’s breach of any term or provision of this Agreement; (ii) any negligent or willful acts, errors or omissions by Contractor, its employees, officers, agents or representatives in the performance of this Agreement, or (iii) any alleged design or manufacturing defects in the Products.

Contractor’s obligation to indemnify the Buyer under this provision shall not apply unless (1) the Buyer shall promptly notify the Contractor in writing of any such suits, claims or demands, provided however, the Contractor shall be relieved of liability only to the extent that the Contractor is actually prejudiced by Buyer’s failure to notify it in a timely manner or at all; (2) Contractor, cooperating fully with Buyer, is afforded full opportunities to defend and settle such suits, claims or demands; and (3) the Contractor is furnished by Buyer upon request all applicable information and assistance reasonably available for defense against any such suit, claim or demand.
This Agreement, including any attached schedule(s), attachment(s) and exhibits, is the full understanding between the parties and shall be the exclusive terms and conditions governing the relationship between the parties. The rights and remedies of the parties are as expressly set forth under this Agreement and shall be interpreted under the laws of Taiwan. In the event that any provision is found to be unenforceable the remainder of the Agreement shall remain in full force and effect.
